For example, i am being chased by cops and the game starts to hick-up

it kinda lags. i have a MSI GTX260 896MB and a i7 920.

my computer can handle crysis on ultrahigh so i don't think the grafix are the issue.

any help?

GTA IV is renowned for lag in the game, even on very high spec pc`s, it was and is a rushed program and not tested properly, youll have to wait and install the patches for the game to see if it improves any, the latest patch is available here

Yeah the game is bugged out, I know of people running similar systems to yours but they have 4870x2's and the game still lags
On another note, why don't you enter these

Ok this is not a question retaining to GTAIV but to socialwalefers comment

I would like to do that but just wondering...

my XP is completly tweaked and setup for gaming and my Windows 7 isnt

If i did one of those benchmarks on a gaming os that i did or my windows 7 that i am using would it be the same?

Nope tweaked XP would be better, RAM doesn't affect the benches at all
I use XP to test myself, its less resource hungry
