i dont think it will make much of a difference about the ram of course the 800 is faster but the cpu could be bottlenecking it i would also go for the asus but my personal choice would be a gigabyte one of the p35 chipsets

If I go with the Gigabyte motherboard I will need to find one with onboard vid since I do not want to add a dedicated card.I also thought the Intel E 5200 would work for what I need?

it should work fine but you want to maintain a about 1:1 ratio with cpu fsb and ram speed and 667 would be over the 1:1 so even that may be bottlenecked

What? That's not true at all. But you might as well get the DDR800 - it's about the same price in most places.

Now I am really confused!! I thought I read that the Intel E 5200 Core 2 duo has a fsb speed of 800. and I would be able to use (2x1Gb) DDR2 800 (pc2 6400) modules.I will be using windows xp 32 bit OS which will limit the ram to 3.5Gb if I go that much.

There is a 12.5x multiplier on the E5200, it's a really low FSB, even if you were running a really high end chip like the E8400 with a low multiplier and a high FSB, there would be no "bottlenecking" present because nothing touches 400mhz without an overclock these days. The DDR 667s will run at 333mhz, the E5200 at 200mhz, so even if you did that you wouldn't have a problem.

Don't worry about it, grab the 800s if they're a good price, but don't worry too much either way.

Not specifically, but ASROCK tends to make pretty decent stuff. Unless you're going super super budget though, most of the time you can get a P35 or P43 board pretty cheap.

I see it has the p43 chip with onboard vid which is what I am looking for and for around $80.00.
