What do you use you PC for?

800Mhz FSB limits your CPU choice to nothing we would reccomend. Carbons suggestion of an AMD system is the best route to take, it will perform much better than your current build.

That processor really isn't upgradable. The motherboard chipset is super old and built for Pentium 4 based systems. You can use your existing RAM and graphics, but you'll have to go for a new motherboard - the MA770-UD3 is usually a cheap pick, and a X2 240 is a great processor on a budget.

This will probably run you about double your budget, but Socket 775 is done, and Pentium 4 is double-done. The Pentium Ds were a very desperate attempt at making a dual-core processor before Core 2, and they are the end of the line for that motherboard.

You may have to get a new ATX case as yours appears to be an mATX form.

You could consider the Gigabyte GA-MA785GM-US2H instead but I'd wait for Carbon to see what he recommends.
